Terms & Conditions

Fortisign Infotech Private Limited

Version 2.0 | Revised on 02 October 2026 | REVIEW DRAFT

Proposed effective date: the date this version is approved and published by Fortisign. The original version stated 01 October 2026; this revision is not automatically effective or retroactive.

This draft includes proposed commercial defaults requiring company approval and legal review before publication.

1. Scope, eligibility and acceptance

These Terms govern use of Fortisign's website and, where expressly incorporated into an accepted order or agreement, its products and services. “Customer” means the person or organisation purchasing those services. “Project Agreement” means an agreement, statement of work (SOW), or order accepted in writing by authorised representatives of both parties.

Users must comply with applicable law. A person entering into a service contract must be legally competent to contract and, when acting for an organisation, authorised to bind it. Website browsing does not by itself place an order or approve project fees. Paid orders and account registrations must use a clear acceptance process identifying the applicable Terms version.

2. Services and contract precedence

Fortisign provides software development, IT services, website and application development, consulting and related technology services. Scope, exclusions, deliverables, milestones, fees and responsibilities must be documented before paid work begins. A quotation, proposal or purchase order is binding only when accepted by both parties.

For a conflict on the same subject, a mutually accepted amendment prevails over the Project Agreement, which prevails over these Terms. A data processing agreement prevails for personal-data processing; an agreed NDA prevails for confidentiality. An SOW overrides an overarching service agreement only where that agreement permits it or the parties expressly agree. Unaccepted customer purchase-order conditions do not change the contract.

Use and project delivery

3. Acceptable use

You must use the website and services lawfully. You must not:

  • Use the website or services for illegal, fraudulent or unauthorised activity.
  • Attempt unauthorised access to systems, networks, accounts or data.
  • Introduce viruses, malware or other harmful code, or disrupt service operation.
  • Copy, modify, distribute or misuse software or content without permission or a legal right.
  • Infringe intellectual property, privacy or other rights, or upload material you are not entitled to use.
  • Perform security testing, automated extraction or load testing without written permission, except as permitted by law.

4. Customer responsibilities and account security

Customers must provide accurate requirements, lawful materials, necessary access and timely approvals, and identify an authorised contact. They remain responsible for their supplied data and its rights and permissions. Where accounts are provided, users must protect credentials and promptly report suspected compromise.

Customer delays may affect milestones. Fortisign must explain the impact and agree any material schedule or fee change in writing. No extra charges arise solely from a unilateral announcement. Backup, migration and production-access responsibilities must be allocated in the Project Agreement; neither party is excused from its own agreed duties.

5. Changes, delivery and acceptance

Changes to scope, integrations, revisions or deadlines require a written change request stating the revised scope, cost and timetable and approval by both parties before the changed work begins.

The Project Agreement must specify acceptance criteria and a reasonable review period. Customers must identify material non-conformities against those criteria in writing; Fortisign must address them and resubmit the affected work. Silence alone is not deemed acceptance unless a clear acceptance mechanism is expressly agreed. New requirements are changes, rather than defects. The agreement must identify handover items, including source code, credentials and documentation where applicable.

Commercial terms and ownership

6. Fees, taxes and invoice disputes

Fees, currency, milestones, deposits and applicable taxes must be agreed in writing. Unless otherwise agreed, undisputed invoices are payable within 30 calendar days of receipt. GST and other applicable taxes will be identified as required by law. Where lawful withholding applies, customers must provide the appropriate evidence.

Customers should promptly notify Fortisign of a disputed amount and its basis; undisputed amounts remain payable. The parties must work in good faith to resolve disputes. Late interest or penalties apply only if expressly agreed and lawful. Suspension for unpaid undisputed amounts requires the notice described in Section 13.

7. Cancellation, refunds and subscriptions

Cancellation and refund terms in the Project Agreement apply, subject to mandatory law. Unless otherwise agreed, a customer may cancel future project work on 30 calendar days' written notice. The customer pays for work properly completed up to termination and approved, unavoidable commitments, with a documented reconciliation.

Prepayments for undelivered work must be refunded after deducting only amounts properly due. Fortisign must not charge the same loss twice. Statutory remedies remain available. Subscription terms, renewal dates, cancellation steps, usage limits and any recurring billing must be clearly disclosed and accepted before purchase. Automatic renewal is not authorised by these general Terms alone.

8. Intellectual property and customer materials

Each party retains its pre-existing intellectual property. Customers retain rights in materials they supply and grant Fortisign permission to use them only as necessary to deliver the services. Fortisign retains its reusable tools, frameworks, methods and independently developed components.

The Project Agreement must identify customer-specific deliverables and specify ownership, licensing, source-code access and any transfer conditions. Unless a different arrangement is expressly agreed, after full payment the customer receives a perpetual, non-exclusive licence to use the delivered customer-specific work and necessary embedded Fortisign components for its own business purposes. No ownership transfer, resale right or standalone redistribution right is implied.

Third-party and open-source components remain subject to their licences, which must be identified where material to the customer's intended use. Fortisign may not publish customer confidential information, logos or project materials in case studies without appropriate written permission.

Confidentiality, privacy and providers

9. Mutual confidentiality

Confidential information means non-public business, technical, financial or other information disclosed in connection with the services and marked confidential or reasonably understood to be confidential. Each party must protect it using reasonable care, use it only for the agreed purpose and disclose it only to authorised persons who need it and are bound by appropriate confidentiality obligations.

This duty does not cover information demonstrably public without breach, already lawfully known, independently developed or lawfully received without restriction. Legally compelled disclosure must be limited to what is required, with advance notice where lawful.

On request or termination, confidential information must be returned or deleted, subject to legal retention and restricted archival backups. Unless a separate agreement provides otherwise, these duties continue for three years after termination; trade secrets remain protected while they qualify as trade secrets.

10. Privacy, cookies and customer data

Fortisign must provide a separate, accessible Privacy Policy explaining actual collection, purposes, recipients, retention, security, applicable rights and grievance contact arrangements. Cookie information and controls must reflect the technologies actually used. Acceptance of these Terms is not blanket consent to optional tracking or unrelated marketing.

Both parties must comply with applicable data-protection law as it becomes effective and applicable to their activities. Where Fortisign processes personal data on a customer's behalf, a written data processing agreement must specify roles, lawful instructions, security measures, approved subprocessors, transfers, incident cooperation and data return or deletion before processing begins.

Fortisign must promptly inform the customer of a confirmed incident affecting customer data and cooperate with applicable legal and contractual notification obligations. Retention and export periods must be documented; customer data must not be kept indefinitely or used for unrelated purposes without an appropriate lawful basis.

11. Third-party services and AI features

Third-party platforms, hosting, APIs and software may have separate terms, licences, charges and usage limits. Material dependencies and approved third-party charges must be disclosed. Provider failures outside Fortisign's reasonable control do not excuse its own negligence or failure to meet expressly agreed responsibilities.

If an AI-enabled product or service is offered, its product terms and privacy disclosures must identify relevant model-provider data handling, retention, permitted inputs and applicable usage limits. AI outputs may be inaccurate and require appropriate human review before reliance. No claim of confidential processing, no-training use or output exclusivity is made without a verified contractual and technical basis.

Service protection and remedies

12. Availability, professional standards and support

Website content is provided on an “as is” and “as available” basis to the extent permitted by law. Fortisign does not promise uninterrupted, error-free or completely secure website operation. Reasonable maintenance or security interruptions may occur.

Paid services must be performed with reasonable skill and care and according to the Project Agreement. Website disclaimers do not override agreed deliverables, warranties or service levels. Warranty duration, defect remedies, maintenance coverage, response targets and backup obligations must be agreed in the relevant SOW or SLA. No 24/7 support or uptime percentage is implied. Material changes to paid services require the agreed change or termination process.

13. Suspension, termination and handover

Either party may terminate an affected Project Agreement for a material breach that remains unremedied 15 calendar days after written notice describing it, unless a different cure period is agreed. Fortisign may suspend affected services for overdue undisputed payments after at least 15 calendar days' written notice and an opportunity to pay.

Immediate, proportionate suspension is permitted where necessary to address an urgent security threat, unlawful use or legal requirement. Fortisign must notify the customer when lawful and safe, minimise avoidable disruption and restore access when the reason is resolved.

On termination, accrued payments and rights remain; Section 7 governs reconciliation and refunds. The parties must arrange delivery of paid-for work, revocation of access and lawful return or deletion of customer data. Export formats, time windows and any additional migration assistance must be agreed. Confidentiality, accrued payment obligations, licences and provisions intended to survive remain effective.

14. Liability and third-party claims

To the extent permitted by law, neither party is liable for indirect or consequential losses arising under these Terms. Unless otherwise agreed, each party's aggregate liability for an affected paid service is limited to fees paid or payable for that service during the 12 months before the event giving rise to the claim. Claims relating solely to free website access remain governed by applicable law; no zero-value cap is imposed.

These exclusions and caps do not apply to fraud, wilful misconduct, breach of confidentiality, infringement of the other party's intellectual property, or liability that cannot lawfully be excluded or limited. Accrued fees and refunds properly due remain payable.

A party receiving a third-party claim relating to supplied materials or deliverables must promptly notify the other and reasonably cooperate. No automatic broad indemnity is imposed; any negotiated indemnity must specify covered claims, exclusions, defence control and settlement approval in the Project Agreement. Mandatory consumer rights are preserved.

Administration and contact

15. Events beyond reasonable control

Neither party is liable for delay caused by an event beyond its reasonable control, to the extent it could not reasonably prevent or mitigate the effects. The affected party must promptly notify the other, explain the impact and take reasonable mitigation steps. Such events do not excuse amounts already due. If disruption continues for 30 calendar days, either party may terminate the affected work by written notice, with reconciliation under Section 7.

16. Governing law and dispute resolution

These Terms are governed by the laws of India. The parties should first attempt good-faith resolution through their authorised contacts. Either may request escalation to senior representatives, ordinarily allowing 30 calendar days for resolution. This does not prevent urgent relief or exercise of statutory rights.

Unless a valid Project Agreement provides otherwise, disputes may be brought before courts having jurisdiction under applicable Indian law. No exclusive city, arbitration seat or shortened statutory claim period is imposed by this draft. Statutory consumer and other mandatory forums remain available.

17. Changes, notices and general provisions

Website Terms may be updated prospectively with a revised effective date and reasonable notice of material changes where practicable. Updates do not retroactively amend signed Project Agreements or introduce new paid charges without the required agreement. Where consent is required, it must be obtained.

Contractual notices must be sent to the contacts designated in the Project Agreement or, for Fortisign, the email below. Receipt must be evidenced; a failed email is not deemed delivered. Formal service of legal process remains subject to applicable law.

If a provision is unenforceable, the remaining provisions continue to the extent lawful. Failure to exercise a right is not a waiver. Neither party may assign a paid agreement without the other's consent, except as expressly permitted in that agreement. Approved subcontracting does not relieve Fortisign of its own obligations. These Terms and the accepted Project Agreement constitute the agreement on their subject matter; no partnership or agency is created.
